Merger of Asco TLC into Acantho (HERA Group)

Following the acquisition of 92% of Asco TLC by Acantho (HERA Group subsidiary) and Ascopiavie, on 27 July 2023, the Hera Group and Ascopiave approved, in the extraordinary shareholders’ meetings of the subsidiaries involved, the merger by incorporation of Asco TLC in Acantho.

The merger is aimed at strengthening the positioning of Acantho in the IT-TLC industry thanks to the cutting-edge know-how and infrastructures of Asco TLC.

Banca Akros assisted the HERA Group by issuing a fairness opinion on the share exchange ratio used in the merger.

The deal proves Banca Akros commitment towards the Energy & Utilities industry and its key players.
