MINIBOND ‘MPG S.P.A. Eur3m + 4% 2014 – 2019’

Euro 3 million – placement successfully closed

 

(Gallarate, 30 July 2014) MPG Manifattura Plastica SpA, a company specialised in the production of thermoformed or injected plastic packaging for food, announced that on 28 July 2014, the subscription of the MiniBond loan of Euro 3 million called “MPG S.P.A. Eur3m + 4% 2014 – 2019”, intended for Qualified Investors, was successfully closed.

 

Applications have already been submitted for the bonds that will be listed on the new segment of Piazza Affari, reserved for professional investors only. The bonds were created to offer Italian companies a flexible domestic market to take advantage of the opportunities and tax benefits arising from the new regulatory framework of the Development Decree (Decree 83/20123), drawn up by the former Monti Government.

“We decided to place the MiniBond because we believe it is an innovative tool both to access new forms of financing, which are important to support our growth, and to equip ourselves with internal organisational tools suitable for the process itself,” said Giampiero Perego, Chairman and Chief Executive Officer of MPG.

Bond holders will be paid a variable annual nominal interest rate benchmarked to 3-month Euribor + 400bps, with a semi-annual coupon.

The Loan has a five-year term, maturing on 31 July 2019, and will be amortised as from 31 January 2018, in semi-annual instalments equal to 25% of the nominal value.

This is a Senior Unsecured MiniBond issued to support an important medium-term development plan.

In 2013, the company had a turnover of 15.3 million, an EBITDA of over 10% and net bank debt of 5.4 million.

Shareholders’ equity is 6.4 million.

For the issue, led by the BPM Group, MPG employed ADB – Analisi Dati Borsa S.p.A. as Advisor and Banca Akros Bipiemme Group as Arranger. In terms of legal support, the law firm Simmons & Simmons with lawyers Piergiorgio Leofreddi and Annalisa Feliciani advised Banca Akros, while R&P Legal with lawyer  Giovanni Luppi advised the company MPG Manifattura Plastica.
